Agree to Continue The company accepts that neither the Investor nor Spark Crowdfunding is responsible for obtaining EIIS approval from the Revenue Commissioners of Ireland. The company acknowledges that the responsibility for making such an application to the Revenue Commissioners to obtain EIIS approval lies solely with the company. In this case, the investor is investing through the Spark Crowdfunding Nominee company (a bare nominee), which will ultimately be the legal owner of the shares issued in connection with the investments. Hawksford (your bare nominee) will handle all company administration, paperwork, and filings to ensure that your investment is appropriately recorded in terms of the number of shares held in the Spark Nominee. Binarii Labs reserves the right to consider any offer that may arise during the next four years. If such an offer is deemed to be in the best interests of the company and its shareholders, Binarii Labs reserves the right to accept it. In such a case, any clawback of EIIS tax concessions granted in relation to the investment will not be the responsibility of Binarii Labs.
I confirm that I have read and understood the information provided to me as an existing investor being given the right to follow on as is the right of all shareholders in the company and the information noted about EIIS approval and the right for Binarii Labs to accept any offer to sell the company at any time.
I, the investor, wish to apply for the allotment of the set number of additional shares in the Spark Nominee company as should be reflected relative to the amount I am investing. I understand that the price per share that can be subscribed to by the Spark Nominee company is €1,381.74 per share. I request you to forward my details to Hawksford to allow them to process all changes in the Spark Nominee company register of members as will be required once the total of all existing Spark Nominee company investors who are choosing to follow-on in this manner has been finalised. I also understand that my details as shared here will be required solely to share with Hawksford and to submit to the Revenue Commissioners of Ireland to process the EIIS relief.
